We have represented lenders and borrowers in syndicated and other types of loans, trade financings, loan participations, loan portfolio sales, swap transactions, project financings, credit enhancement transactions, real estate, oil and gas and other asset-based financings, foreclosures, workouts and loan restructurings.

We have also represented our bank clients in estate proceedings, mortgage foreclosures and related bankruptcy proceedings, bank holding company registrations, deposit insurance applications, bank mergers and reorganizations, branch acquisitions and Edge corporation formations and have advised them on securities activities, risk-based capital guidelines, reserve requirements, lending limits, country-risk exposures, Bank Secrecy Act, consumer credit compliance and other regulatory questions in the context of New York, New Jersey and Federal banking statutes and regulations. Some examples of our work with bank clients are as follows:

• Represented a South American bank and its international affiliates in negotiating the refinancing of $240 million in term and trade debt with a syndicate of over forty banks.
• Represented a major Japanese bank in a loan to a Colombian joint venture, guaranteed by the New York subsidiary (one of the joint-venturers) of a Japanese auto parts manufacturer.
• Assisted a leading bank from the Republic of China (ROC) in obtaining one of the first New York agency licenses issued to a ROC bank after liberalization of ROC laws permitted ROC banks to expand abroad, and helped with the Federal Reserve Board country certification process for the ROC.
• Represented the lenders in a syndicated $280 million project financing for the construction of a chemical plant in Texas.
• Assisted a thrift institution in the purchase of a $100 million home equity loan portfolio.
• Formed a mortgage banking subsidiary for an out-of-state bank and advised it on New York State disclosure and other relevant compliance issues.
• Represented a major French bank as issuer of a $175 million letter of credit supporting a bond issue of like amount for a waste disposal plant in New Jersey.
• Represented a major Irish bank as issuer of letters of credit supporting bond issues for Pennsylvania educational institutions.
• Represented Tokai Bank in issuing letters of credit to support a variety of municipal bond issues, in the purchase of Tax Sale Certificates from various municipalities and in a proposed joint loan agreement for a $50 million credit to the Inter-American Development Corporation.
• Counseled various Trustees in municipal bond transactions.
• Represented the New York agency and subsidiary of a Colombian bank on credit, regulatory and other matters for more than twenty years.
