Andrew R. Shapiro

Andrew Shapiro is of Counsel to Satterlee Stephens LLP. 

Mr. Shapiro has nearly a decade of experience in corporate and commercial law, securities law, compliance and corporate finance. He represents issuers, investment banks, sponsors and investors in public and private equity and debt offerings, often in the context of cross-border transactions, refinancings and restructurings. He also represents public and private companies in connection with commercial contracts, acquisitions and sales, strategic partnerships and ongoing compliance under the securities laws.

Michael J. Kearney, Jr.

Michael Kearney is of Counsel to Satterlee Stephens LLP and practices tax law with a focus on transactional tax matters. 

Mr. Kearney advises on the tax aspects of domestic and cross-border mergers and acquisitions, joint ventures, debt financings and financial restructuring involving corporations, partnerships and LLCs.  He counsels clients on matters involving controlled foreign corporations (CFCs), passive foreign investment companies (PFICs), effectively connected income (ECI), unrelated business taxable income (UBTI), and income tax treaties.

Rina R. Patel

Rina R. Patel is an associate at Satterlee Stephens LLP.

Her practice primarily focuses on corporate and finance transactions.  Prior to joining the firm, she worked in the bankruptcy department at Hughes Hubbard & Reed LLP and in media, as an in-house attorney, at WNET New York Public Media.

Previously, Ms. Patel was an associate in the global finance group at Dewey & LeBoeuf LLP and the banking & finance group at Nixon Peabody LLP. She started as an associate in the litigation/arbitration group of Nixon Peabody LLP after graduating from law school.

Elishama (Eli) A. Rudolph

Eli A. Rudolph is an associate at Satterlee Stephens LLP.

His practice focuses on commercial, securities, finance and corporate transactions. Prior to joining the firm, he worked as an associate at Sierchio & Partners, LLP.

Previously, Mr. Rudolph was an associate in the corporate finance and securities department of Bryan Cave LLP.

Mr. Rudolph is admitted to practice in the State of New York.

Joseph L. Sierchio

Joseph Sierchio is a partner of Satterlee Stephens LLP.

Mr. Sierchio counsels and advises public and private companies, foreign and domestic, partnerships, private equity funds, family offices and individual investors and entrepreneurs, in a broad range of transactional and securities laws matters, including complex financing transactions (public and private), listings on various stock exchanges, mergers, acquisitions, divestitures, corporate governance and regulatory compliance.

Mr. Sierchio serves as a director of a number of public and private corporations.

Michael D. Baird

Michael Baird is an associate at Satterlee Stephens LLP. 

He concentrates his practice in the areas of corporate, public finance and banking. Prior to joining the firm, Mr. Baird was an associate in the corporate department at Cravath, Swaine & Moore in New York.

Mr. Baird is admitted to practice in New York.

Mr. Baird earned his undergraduate degree (A.B.) from Princeton University, his master of business administration (M.B.A.) from Villanova University, and his law degree (J.D.) from Columbia University School of Law, where he was a James Kent Scholar.

William R. Ziegler

William R. Ziegler is of Counsel to Satterlee Stephens LLP. 

He has practiced corporate, banking and securities law since 1968.  Mr. Ziegler holds directorships in several corporations, including Grey Wolf, Inc., Geokinetics Inc., Flotek Industries, Inc. Somerset Production Co., Vesta Corp. and La Crosse Milling Company.  He specializes in financial, transactional and regulatory matters, including mergers, acquisitions and dispositions, commercial and industrial financing transactions, workouts and debt restructurings, and securities offerings. 

Marybeth Riordan

Marybeth Riordan is of Counsel to Satterlee Stephens LLP, practicing primarily in the areas of general corporate, business and securities law, with emphasis on transactional and regulatory matters.

Peter S. Smedresman

Peter Smedresman is a partner of Satterlee Stephens LLP. 

Mr. Smedresman represents major international financial institutions and multinational businesses with their corporate finance needs, including debt finance, capital markets transactions, sovereign risk and derivatives. He also regularly advises banks and other financial institutions with respect to regulatory matters, including analysis of new activities and financial products.

Dwight A. Kinsey is a partner of Satterlee Stephens LLP.

Mr. Kinsey concentrates in the areas of corporate and public finance.  He has over 30 years of experience in handling all types of corporate and securities matters, including both domestic and foreign public and private offerings, mergers, acquisitions, joint ventures and other strategic collaborations.  Mr. Kinsey has represented a number of companies from incorporation through their initial public offering and beyond, including numerous follow on debt and equity offerings.
