Howard G. Seitz of Counsel to Satterlee Stephens Represents College of Mount Saint Vincent in Connection with its Refinancing of $11 Million of Tax-Exempt Debt

Howard G. Seitz, of Counsel to Satterlee Stephens, represented the College of Mount Saint Vincent, a Catholic liberal arts college in Riverdale and the first institution to offer higher learning for women in New York, in connection with the issuance of $11 million of Tax-Exempt Revenue Bonds issued by Build NYC Resource Corporation for the construction and renovation of the College's facilities. The financing will assist the College in renovating the Grace Center, Alumnae Hall, and Mastronardi Hall.

Michael Kearney is of Counsel to Satterlee Stephens LLP and practices tax law with a focus on transactional tax matters. 

Mr. Kearney advises on the tax aspects of domestic and cross-border mergers and acquisitions, joint ventures, debt financings and financial restructuring involving corporations, partnerships and LLCs.  He counsels clients on matters involving controlled foreign corporations (CFCs), passive foreign investment companies (PFICs), effectively connected income (ECI), unrelated business taxable income (UBTI), and income tax treaties.

Mr. Seitz has practiced in the field of business and commercial law, principally dealing with privately held companies and the people who control them, and this has led him into also working in the trusts and estates field.

Mr. Seitz is admitted to practice in New York and Florida and before the Federal Court in the Southern District of New York.  He is a member of the board of directors of various privately held companies, including companies in the fuel cell business, wire and cable industry and agriculture.

Paul J. Powers, Jr. is of Counsel to Satterlee Stephens LLP. 

Mr. Powers specializes in trusts and estates and employee benefits law.  He is experienced in assisting individuals with all aspects of their estate and personal planning needs including inter vivos charitable and family gifting, real estate, Will preparation and retirement planning.  Mr. Powers advises corporations with respect to ERISA compliance, the establishment and maintenance of qualified benefit plans and the compensation of executives by non-qualified benefit plans.

Amy J. Guss is a partner of Satterlee Stephens LLP. 

Ms. Guss specializes in the areas of taxation and trusts and estates.  She represents individuals in a wide range of matters, including income, gift, estate and generation-skipping transfer tax matters and the drafting of wills and trust agreements, including charitable split-interest trusts, qualified personal residence trusts, qualified annuity trusts and insurance trusts.  She is experienced in business succession planning and retirement planning and the valuation issues associated with such planning.
